These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Customer") and ABC Photoshoot LLC, doing business as ABC AI Lab ("ABC AI Lab," "we," "us," or "our"), a Florida limited liability company located in West Palm Beach, Florida, USA, and govern your use of our Social Media Automation service (the "Service"). By using the Service or connecting a social media account to it, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
The Service produces original short-form video content and publishes it to social media accounts that you own and explicitly connect and authorize. We publish only through each platform's official API and only to accounts for which you have granted, and not revoked, authorization.
You represent and warrant that you own, or are fully authorized to manage, every account you connect, and that connecting it to the Service does not violate any agreement between you and the platform. You may revoke authorization at any time through the platform's settings or by contacting us; upon revocation, publishing to that account stops. You are responsible for your account credentials and for all activity conducted under your connected accounts.
Your use of each connected platform remains subject to that platform's own terms and policies, including the TikTok Terms of Service, TikTok Community Guidelines, and the Meta Terms and Community Standards. You agree to use the Service in compliance with those rules. We may refuse, hold, or stop publishing content that we reasonably believe violates a platform's policies or applicable law.
Content produced by the Service is generated using artificial intelligence. It may contain inaccuracies, and we make no guarantee of any particular reach, engagement, views, monetization, virality, ranking, or other result. You are responsible for reviewing content before or after publication as you see fit, and for using each platform's AI-content/synthetic-media labelling tools and otherwise complying with laws and platform rules on AI-generated content.
As between you and us, you own the content published to your accounts. You grant ABC AI Lab a limited, non-exclusive, revocable license to generate, process, format, store, and publish content to the accounts you connect, solely to provide the Service. You are responsible for the content once it is published to your accounts.
You agree not to use the Service to: send spam or engage in artificial engagement or platform manipulation; impersonate any person or entity; publish content that is unlawful, infringing, deceptive, defamatory, harassing, or that violates a platform's community standards; publish content to accounts you are not authorized to operate; or interfere with, reverse-engineer, or misuse the Service or the platform APIs it relies on. We may suspend or terminate access for violations.
The Service, and all software and materials we provide (excluding your content), are owned by ABC AI Lab and protected by intellectual-property laws. We respect intellectual-property rights and respond to valid notices under the Digital Millennium Copyright Act (DMCA). To report claimed infringement, contact our designated agent at abcphotoshootllcbooking@gmail.com with the information required by 17 U.S.C. § 512(c)(3). We may remove content and terminate repeat infringers.
Where the Service is provided under a paid plan, the fees, billing cycle, renewal, and cancellation terms are those presented to you at sign-up or agreed in writing. Pricing and any auto-renewal terms are disclosed clearly and conspicuously; applicable taxes are your responsibility. We do not engage in deceptive or unfair practices.
We aim for reliable operation but do not guarantee uninterrupted, timely, secure, or error-free service. The Service depends on third-party platform APIs (TikTok, Meta, Bluesky, Mastodon, Threads), which may change, deprecate, rate-limit, suspend, or restrict access at any time. We are not responsible or liable for actions taken by any platform, including account bans, restrictions, content removals, rate limits, outages, algorithm changes, or policy changes, or for any resulting loss of reach, revenue, or content.
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that content will achieve any result.
To the maximum extent permitted by law, ABC AI Lab and its owners, employees, and providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service, even if advised of the possibility. Our total aggregate liability for all claims relating to the Service shall not exceed the total amount you paid us for the Service in the 12 months preceding the event giving rise to the claim (or USD 100 if you paid nothing). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing here limits liability that cannot be limited by law (such as for fraud, gross negligence, or willful misconduct).
You agree to defend, indemnify, and hold harmless ABC AI Lab and its owners, employees, and providers from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) content you direct us to publish; (b) accounts you connect and your authority (or lack of authority) over them; (c) your use of the Service; and (d) your violation of these Terms, of applicable law, or of any platform's policies.
You may stop using the Service at any time. We may suspend or terminate your access, in whole or in part, at our discretion — including for violation of these Terms or an Acceptable-Use provision, non-payment, risk to the Service, or where required by a platform or by law — without liability. Upon termination we cease publishing and, on request, delete your authorization data as described in the Privacy Policy. Provisions that by their nature should survive (including Sections 10–12, 14, and 15) survive termination.
Please read this section carefully; it affects your legal rights. Except for claims that qualify for small-claims court, you and ABC AI Lab agree that any dispute arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration, administered under the rules of a recognized arbitration provider, rather than in court, and you and we each waive the right to a jury trial and to participate in a class, collective, or representative action. Arbitration will take place in, or be conducted from, Palm Beach County, Florida. You may opt out of this arbitration agreement by emailing abcphotoshootllcbooking@gmail.com within 30 days of first accepting these Terms; if you opt out, the governing-law and venue provisions in Section 15 apply. Where multiple similar demands are filed, the parties agree they may be batched for efficient administration. If any part of this Section is found unenforceable, the remainder still applies, except that the class-action waiver is non-severable from the arbitration agreement.
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. To the extent any dispute is not subject to arbitration, it shall be brought exclusively in the state or federal courts serving Palm Beach County, Florida, and you consent to their jurisdiction.
We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including third-party platform or API outages, changes, or restrictions, internet or hosting failures, acts of government, or natural events.
We may update these Terms from time to time. The "Last updated" date reflects the current version; where appropriate we will provide notice of material changes. Continued use of the Service after changes constitutes acceptance.
If any provision is held unenforceable, the remaining provisions remain in effect (severability). These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
